Legitimeter Terms of Service — DRAFT

DRAFT - NOT LEGAL ADVICE. Agent-written on 2026-10-01 (P5, ticket 5eec3815) for review by counsel. Do not publish until counsel has reviewed it. Every clause cites the register row in docs/STRATEGY_GAPS.md section 3, or the code, that it rests on. Items marked [OWNER] or [COUNSEL] are open decisions; this draft does not make them. Companion: docs/legal/PRIVACY_POLICY_DRAFT.md (fe2eb69).

1. Who we are and what these terms cover

Legitimeter by Holoschema LLC ("we", "us") provides:

Together these are the "Service".

These terms are offered by Holoschema LLC, a Texas limited liability company (Texas SOS file #6000019436). [OWNER] Registered/postal address: not yet chosen.

By installing or using the Service you agree to these terms.

2. Eligibility

You must be at least 13. In the EU/EEA and the UK you must be at least 16, unless a lower age applies in your country and your parent or guardian consents. Source: L-COPPA and L-GDPR.

The Service is not directed to children. We do not knowingly collect data from anyone under 13. If we learn that an under-13 user exists, we delete that user's server-side records under section 9.

3. What the Service does, and what a label means

The extension reads only pages you already have open. It then shows a label: an estimate of whether an item or account looks automated, AI-generated or inauthentic.

A label is our opinion, based on signals. It is not a statement of fact about any person. Labels are worded "signals suggest…" and show their evidence. Source: L-230, under which our labels are our own speech.

Labels can be wrong. Do not use a label as the sole basis for a decision that has legal or similarly significant effects on someone, such as hiring, lending, housing, reporting a person to authorities, or banning or doxxing someone. Source: L-GDPR Art 22 and L-COAI.

No single signal is a verdict by itself. This includes an account's apparent country or region, which is never used as a flag on its own (user ruling, 567533e1).

We make no accuracy claims. We publish an accuracy figure only once it has been measured and can be substantiated. Source: L-FTC.

4. Acceptable use

You agree not to:

(a) use labels to harass, threaten, defame or brigade any person or channel;

(b) misrepresent a label as a statement of fact, or remove its "signals suggest" framing or its evidence when sharing it;

(c) submit false appeals, false reports or coordinated mass reports. This includes submitting lists or contributions that you know are inaccurate;

(d) reverse-engineer, scrape, or automate the Service to make requests that a normal user would not make, or modify it to do so. The extension is observe-only by design, and you may not change it to fetch, crawl or automate third-party sites. Source: L-CFAA, invariant I2;

(e) attack, overload or probe the Service or its peers. This includes poisoning contributions or abusing referral credits;

(f) use the Service to break any law, or a platform's terms that bind you.

We may suspend features or accounts that breach these rules.

5. If you are labeled: corrections and appeals

If you believe a label about you or your channel is wrong, request a correction through the appeal path, listed in docs/STRATEGY_GAPS.md as gap G10.

Support: email support@legitimeter.com or visit https://legitimeter.com/support.

We will review your request and respond within 30 days.

If we correct a label, the correction is appended to the original record. We never silently delete the record: our store is append-only and revocation works by supersession (server/src/store.mjs:12, server/src/contribution.mjs:106).

This process is designed to meet the Texas Defamation Mitigation Act, CPRC ss73.055–73.059 (L-DEF).

[COUNSEL] Confirm that this flow satisfies s73.055 and s73.057(e).

EU and UK data subjects may also object under GDPR Art 21. See the privacy policy.

6. Contributions

Contributing observations is opt-in. What you contribute, and how precise it is, is set out in the privacy policy. For example, observation times are floored to 15-minute buckets.

You grant us a worldwide, royalty-free, non-exclusive licence to use your contributions to operate and improve the Service.

You can revoke contribution at any time. Revocation supersedes your records; it does not erase the audit trail. See privacy policy section 7.

7. Accounts, quotas, paid plans and referral credits

Some features have usage quotas. Paid plans and referral credits extend those quotas. The server-side referral mechanism is in server/src/referral.mjs.

Referral credits have no cash value. They are not transferable, and they may be voided if they were obtained by abuse (section 4(e)).

Paid plans are sold through Paddle (Paddle.com Market Limited and its affiliates), which acts as our Merchant of Record. Paddle is the seller of record for your purchase: it processes payment, calculates and collects sales tax or VAT, and issues your invoice, and Paddle's own buyer terms apply to the transaction. We never receive or store your full card details. See docs/legal/MERCHANT_OF_RECORD.md.

[OWNER] Plan prices, billing cycle and the refund window.

8. Intellectual property

The Service, its code, models and the label methodology are ours or our licensors'. These terms grant you a personal, revocable, non-exclusive licence to use the extension as intended.

You may share a label (for example as a share card) only with its framing and evidence intact (section 4(b)).

[COUNSEL] Whether share cards may name public channels. This question is carried into ATTORNEY_BRIEF.

9. Privacy

Our privacy policy (docs/legal/PRIVACY_POLICY_DRAFT.md) describes what we collect and how you exercise your rights. It forms part of these terms.

10. Disclaimers

The Service is provided "as is". Labels are probabilistic estimates (section 3). To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and accuracy.

[COUNSEL] Consumer-law carve-outs for the EU, UK and Australia, where some warranties cannot be excluded.

11. Limitation of liability

To the extent the law allows, our total liability is capped at the greater of:

We are not liable for indirect or consequential losses.

This section does not limit liability that cannot be limited by law, for example for gross negligence or wilful misconduct, or under EU and UK consumer law.

12. Termination

You may stop using the Service at any time by uninstalling the extension. How to delete your data is set out in the privacy policy.

We may suspend or end access for breach of section 4.

Sections 3, 5, 8, 10, 11 and 13 survive termination.

13. Governing law and disputes

[COUNSEL] We propose the law of Texas and the courts of Dallas County, which is our home state (L-TDPSA).

Whether to require arbitration or waive class actions is an open counsel question. Mandatory consumer protections in your country of residence still apply.

14. Changes

We will give at least 30 days' notice of material changes, in the extension and on the site. Continuing to use the Service after that notice means you accept the change.

15. Markets we do not serve

The Service is not offered in mainland China (L-PIPL, "do not enter"). Some features may be withheld in a region until our legal review for that region is complete (STRATEGY_GAPS section 4).

Open items for counsel (feeding ATTORNEY_BRIEF)

  1. Do sections 3 and 4 adequately disclaim factual assertion, given that s230 does not cover our own labels (L-230)?
  2. Does the section 5 flow satisfy CPRC s73.055 and s73.057(e)?
  3. Arbitration and class waiver: use them or not? What is the enforceability for 13–17-year-old users?
  4. Liability cap amount, and the EU/UK/AU consumer carve-outs.
  5. Is 16+ correct for every EU member state, or do we need a per-country table?

DRAFT - NOT LEGAL ADVICE.
